# Awake Contract Assignment and Novation Agreement

## Commercial Terms

Assignor, assignee and consenting counterparty: [names/addresses]. Contract chain: [title/date/versions]. Transfer date: [date]. Mode: [assignment with assumption / novation releasing specified obligations]. Assigned rights, assumed obligations and retained liabilities: [schedule]. Consents: [actual signed evidence].

## 1. Transfer and assumption

Assignor assigns only the identified transferable rights. Assignee assumes only the scheduled obligations from the specified date. Counterparty consents to the stated transfer and acknowledges continuing terms. Identify any nontransferable license, personal duty or data obligation requiring a separate arrangement. No transfer is represented as effective before required consent.

## 2. Release selection

An assignment does not by itself release Assignor. Only if all three parties expressly select and complete a novation does Counterparty release the identified obligations of Assignor and accept Assignee in its place. Pre-transfer accrued liabilities and claims are [retained/transferred/released with precise wording]. An unresolved selection supplies no release.

## 3. Records and notices

Deliver contract records and notices securely, update billing/service contacts and preserve existing customer and data rights. All unchanged contract terms remain. No new price, renewal, license scope or equity right arises from the assignment.

## Signatures

Assignor: [authorized signature, title, date]. Assignee: [authorized signature, title, date]. Consenting counterparty: [authorized signature, title, date].
