Commercial Terms
Issuer/optionee: [names]. Grant and governing agreement: [date/version]. Exercise submission date: [date].
Exercise election
[Shares/class; vested/unvested breakdown; exercise price; total; permitted payment method]. Confirm unexpired exercise rights using the actual agreement. Unvested exercise requires permitted early exercise and a signed restricted-stock companion.
Acceptance and issuance
Company verifies timely receipt, payment, approvals, withholding/reporting and required transfer documents before recording actual issuance. Company confirmation: [actual shares, transfer date, payment receipt and ledger entry]. A submitted notice is not evidence of completed transfer.
Tax information
Obtain individual tax advice for the actual instrument/transfer, including any applicable 83(b) election. Company supplies required factual information; the optionee remains responsible for personal filings. Do not place tax identifiers in public repositories.
